Terms of Service

Welcome to ArkCentral (operated by Arkra LLC). Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the ArkCentral website, hardware devices, and associated software applications (collectively, the "Service" or "Product").

By accessing or using the Service, or by purchasing our Hardware, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. GOVERNING LAW AND DISPUTE RESOLUTION
 
1.1. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

 
1.2. Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by binding arbitration. You agree that you and Arkra LLC are each waiving the right to a trial by jury or to participate in a plaintiff class.

 
1.3. Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

 
2. HARDWARE, SHIPPING, AND RETURNS
 
2.1. 30-Day Money-Back Guarantee

If you are not satisfied with your ArkCentral device, you may return it within 30 days of the delivery date for a refund.

  • Condition: The device must be returned in its original packaging with all accessories and in like-new condition.

  • Shipping Costs: We cover return shipping costs for returns originating within the United States and the European Union. For returns from locations outside the U.S. or EU, we’ll do our best to accommodate too but cannot guarantee in advance. Please contact us for further instructions and guidance.

  • Fees: There is no restocking fee for returns that meet these conditions.

 
2.2. International Shipping & Customs

For orders shipped outside of the United States, you (the buyer) are solely responsible for any VAT, tariff, duty, taxes, handling fees, customs clearance charges, etc., required by your country for importing consumer goods. We do not collect this beforehand, and we cannot give you an estimate of the cost.

 
2.3. Limited 2-Year Warranty

We warrant that the hardware will be free from defects in material and workmanship for a period of two (2) years from the date of delivery.

  • What is Covered: Defects in materials and workmanship under normal use.

  • What Voids the Warranty: This warranty is void if the device has been damaged by:

    • Water or other liquids.

    • Physical abuse, dropping, or crushing.

    • Tampering: Opening the device chassis or breaking security seals.

    • Use of non-approved power adapters or voltage converters.

    • Modifications to the hardware or firmware not authorized by Arkra LLC.

 
3. ZERO-KNOWLEDGE ARCHITECTURE & DATA LIABILITY
 
3.1. NO DATA RECOVERY & ZERO-KNOWLEDGE ARCHITECTURE 

ArkCentral utilizes a Zero-Knowledge security architecture. Your encryption keys are generated locally on your device and are never transmitted to Arkra LLC or any third party.

WE CANNOT RECOVER YOUR DATA. Access to your data relies entirely on your local credentials. If you lose access to the biometric authentication (e.g., fingerprint) used to initialize the Device, and/or lose access to the trusted devices connected to the Device, your data will be permanently lost. Arkra LLC is not responsible for any data loss resulting from lost credentials, user error, or failure to maintain backup access.

Hardware Warranty Exception: Notwithstanding the above, if you utilize an Arkra Hard Drive to backup your data and data loss occurs specifically due to a verifiable mechanical or electronic failure of the Arkra hardware under normal usage conditions, Arkra’s liability is limited as set forth in Clause 3.2.

 
3.2. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Arkra LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

Our total liability to you for any claim arising out of or relating to these Terms or the use of the Product is limited to the amount you paid for the Product.

 
4. PILOT AND FOUNDING MEMBER PROGRAM
 
4.1. "As-Is" Disclaimer

If you are purchasing a "Founding Member" batch unit or participating in our Pilot Program, you acknowledge that the software is in a development stage. The Product is provided on an "AS IS" and "AS AVAILABLE" basis. It may contain bugs, errors, or other defects.

 
4.2. Feedback & Intellectual Property

We welcome your feedback, ideas, and suggestions for improvement ("Feedback"). By submitting Feedback, you grant us the right to use it without any restriction or compensation to you. You acknowledge that you have no intellectual property rights in any features or improvements we develop based on your Feedback.

 
5. SOFTWARE LICENSE
 
5.1. Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the software embedded in the Hardware solely for your personal or internal business use.

 
5.2. Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the software or hardware.

  • Rent, lease, lend, sell, redistribute, or sublicense the software separately from the hardware.

  • Attempt to bypass or tamper with the biometric or cryptographic security measures.

 
5.3. Updates

While we aim to support the device for the long term, we do not guarantee the provision of security updates or feature updates for any specific duration of time at this stage.

 
6. ACCEPTABLE USE POLICY

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to use ArkCentral to store, transmit, or distribute:

  • Child Sexual Abuse Material (CSAM).

  • Content related to terrorism or violent extremism.

  • Malware, viruses, or code designed to disrupt services.

  • Content that violates the intellectual property rights of others.

 

Acknowledgement of Anonymity:
You acknowledge that ArkCentral is designed as a privacy-preserving, zero-knowledge system. We do not and cannot monitor user activity, decrypt content, or maintain logs linking specific users to specific devices. While our architecture prevents us from proactively monitoring or blocking specific user content, any use of the Product for the prohibited activities listed above constitutes a material breach of this Agreement and terminates your license to use the software.

 
7. CONNECTIVITY SERVICES
 
7.1. Connection Availability

ArkCentral may provide connectivity services to broker connections and support certain features of the platform. We will use commercially reasonable efforts to maintain continuous availability of these services; however, uninterrupted or error-free operation is not guaranteed. ArkCentral is not responsible for service interruptions or downtime resulting from scheduled maintenance, internet or network issues, or failures of third-party service

providers.
